1. Agreement to Terms
By accessing or using the GroundWorks platform ("Service") operated by GroundWorks Services LLC ("we," "us," or "our"), a California limited liability company, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. Description of Service
GroundWorks provides a cloud-based software platform for contractors and trade businesses, including CRM, lead management, scheduling, proposals, invoicing, and related tools. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.
3. Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity under your account. Notify us immediately of any unauthorized access.
4. Acceptable Use
You agree not to: (a) violate any applicable law or regulation; (b) transmit malware or harmful code; (c) interfere with the integrity of the Service; (d) attempt to gain unauthorized access to any system; (e) use the Service to send unsolicited communications in violation of applicable law, including but not limited to the TCPA and CAN-SPAM Act.
5. Payment Terms
Certain features require a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice.
6. Intellectual Property
The Service and its original content, features, and functionality are owned by GroundWorks and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of any data you submit to the Service.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. You agree that we may collect and use data as described therein.
8. Limitation of Liability
To the maximum extent permitted by law, GroundWorks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Termination
We may terminate or suspend your access at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. You may export your data within 30 days of termination by contacting us.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles. GroundWorks Services LLC is located in Sacramento, CA.
12. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by email or by posting a notice on the Service. Your continued use after changes constitutes acceptance.
